DESMI Strengthens Core Business with Full Integration of DESMI Ocean Guard

We are streamlining our corporate structure to enhance your service experience. Effective June 30, 2025, DESMI Ocean Guard A/S will be fully integrated into DESMI’s main business entities.

This transition is designed to be seamless and will not affect prior, current and new agreements as open orders, service agreements, and warranties will be automatically transferred to the appropriate DESMI entity.

Information and action required 

Effective June 30, 2025, DESMI Ocean Guard A/S will be fully integrated into DESMI’s main business entities. Please review the following important updates and required actions:

 

As part of our ongoing organizational restructuring, DESMI Ocean Guard is being legally merged into DESMI Pumping Technology A/S (DPTA). Effective immediately, DPTA will assume all legal and financial obligations previously held by DESMI Ocean Guard.


What does this mean for you?

  • Your contracts and agreements with DESMI Ocean Guard will remain valid and enforceable with DPTA as the surviving legal entity.

  • All rights and obligations under your existing contracts will be transferred to DPTA by operation of law.

  • Purchase orders and invoices may now reference DPTA instead of DESMI Ocean Guard, but this does not affect the validity of your agreements or our ability to fulfill our obligations to you.

  • If this change causes any alignment challenges for your internal systems or processes, please reach out to us so we can work together to find a solution.


We recommend that you also consult your legal department to ensure that your procedures are updated to reflect this change and that you continue to do business with the correct legal entity.

 

 

Common Customer Concerns:
1) Purchase orders and invoice alignment: While there is typically no legal requirement that purchase orders and invoices must match exactly by company name – we recognize that many internal systems have set this up and there could be some changes that need to be made from your side.

2) Contract validity: contracts are not invalidated by a legal mergers. The new entity (DPTA) steps into the shoes of the merged entity (Ocean Guard) for all rights and obligations. This is standard in most jurisdictions, but please reach out to us if you should be concerned.

 

 

What’s Changing

 

  • Invoicing Entity
    All orders for Ballast Water Treatment Systems and spare parts previously handled by DESMI Ocean Guard A/S will now be managed and invoiced by your local DESMI sales company serving your region. DESMI Ocean Guard A/S will cease to exist as a legal entity after June 30, 2025.

  • Open Orders

    If you currently have an open purchase order (PO) with DESMI Ocean Guard A/S that will be delivered after June 30, 2025, by default you will receive the invoice from DESMI Pumping Technology A/S unless agreed otherwise with your account manager that it should be invoice through the local DESMI sales company - not DESMI Ocean Guard A/S. To ensure seamless processing and reconciliation, it is crucial that you update the vendor information for DESMI in your purchasing system. We will, in due time, inform you with a list of orders and respective data in the local DESMI sales company.

  • New Orders: All new orders will be placed through the local entity represented in your country where the order is to be placed.

  • Contact Updates
    Spareparts communication will now come from spareparts@desmi.com (replacing sparepartsdog@desmi.com).
    Your account representatives remain unchanged.


  • Banking Details
    Updated payment and banking details will be provided by your local DESMI sales company.

  • Actions Required by June 15, 2025
    Update your vendor records to reflect the new DESMI company information. Please contact your account manager if you need assistance.

  • Update email contacts in your system to use the new addresses. We will also forward emails from old addresses during the transition.

  • Direct all new purchase orders to your local DESMI sales company via your account manager.

  • Update payment details for future invoices.
